Proposed Changes to Section 4. Annual General Meeting of the Clubs Constitution.

 

In light of the unprecedented ongoing Coronavirus events and restrictions which started in the UK in March 2020, the Club Council agreed to hold the Club’s 2021 AGM on its scheduled date by “virtual” means. This is because at present we cannot either legally or safely hold the AGM in an “in person” format. Although it is sincerely hoped that this should never be necessary again, nonetheless the following changes to the Clubs Constitution will formalize the procedures to facilitate any necessary moves to do so should they be required in the future.

 

It is proposed to insert three additional sub-paragraphs into Section 4 of the Club Constitution, entitled “Annual General Meeting”, and to add one word to the first existing sub-paragraph 4. (a).  

 

In sub-paragraph 4. (a) after the words “The Annual General Meeting of the Club shall”, add the word “normally”. This paragraph will then read “The Annual General Meeting of the Club shall normally be held on the third Wednesday in February…. .

 

After sub-paragraph 4. (a), add the following three new sub-paragraphs 4. (b), (c), and (d) as follows,

 

“(b) In the event of the AGM being unable to be held on the third Wednesday in February for exceptional reasons, the Club Council may, upon the recommendation of the Clubs Office Bearers and the Club Administrator, defer the AGM until a suitable later date.

 

(c) In the event of Council approving such a deferral of the AGM beyond its scheduled date in February, the rescheduled AGM must in any case be held by the third Wednesday in June of the same year.

 

(d) If it is not possible to hold an “in person attended AGM” by the June deadline, Council may upon the recommendation of the Clubs Office Bearers and the Club Administrator, agree to hold a “virtual AGM”, online, by utilizing one of the several commercially available software meeting platforms.”

 

The existing sub-paragraphs 4. (b) and (c) will need to be re-lettered (e) and (f) respectively.

 

The revised Section 4 will then read as follows,

 

 

 

4. ANNUAL GENERAL MEETING

 

(a) The Annual General Meeting of the Club shall normally be held on the third Wednesday in February at which a properly audited statement of the accounts shall be submitted. The financial year shall begin on the first day of December and end on the thirtieth day of November.

 

(b) In the event of the AGM being unable to be held on the third Wednesday in February for exceptional reasons, the Club Council may, upon the recommendation of the Clubs Office Bearers and the Club Administrator, defer the AGM until a suitable later date.

(c) In the event of Council approving such a deferral of the AGM beyond its scheduled date in February, the rescheduled AGM must in any case be held by the third Wednesday in June of the same year.

(d) If it is not possible to hold an “in person attended AGM” by the June deadline, Council may upon the recommendation of the Clubs Office Bearers and the Club Administrator, agree to hold a “virtual AGM”, online, by utilizing one of the several commercially available software meeting platforms.

(e) At least fourteen days prior to the date of the Annual General Meeting each member shall receive due notification of this meeting together with a copy of the financial statement.

 

(f) Notice of any motion amending the Rules to be proposed at the Annual General Meeting of the Club or an extra­ordinary General Meeting of the Club, must be intimated in writing to the Secretary not less than 21 days before the date of such meeting.
